1. Who we are and what these terms cover
Veer is a brand of Eyes Software FZCO, Building A1, Dubai Digital Park, Dubai Silicon Oasis, P.O. Box 342001, Dubai, United Arab Emirates ("we", "us"). These terms apply when you create a Veer account, buy a license, start a trial, or install and use Veer software (the "Software").
By buying a license or using the Software you accept these terms. If you buy for a company, you confirm that you may bind it, and "you" means that company.
2. Your account
You need an account to buy a license or start a trial. Give accurate details, keep your password private, and tell us at support@veer.example if you think someone else has used your account.
You are responsible for activity in your account. We may suspend an account that is used for fraud or to break these terms.
3. Orders, prices and taxes
Prices are shown on the pricing page before checkout. Payment is taken by Stripe through Stripe Checkout; your card details are entered on Stripe's page and never reach us.
Where required, VAT or a similar tax is calculated at checkout (for example through Stripe Tax) and shown before you pay. [OWNER TO CONFIRM: whether displayed prices include or exclude tax in each region.]
A contract is formed when your payment is confirmed and we issue your license. If we cannot fulfil an order, we refund it in full.
4. Delivery
Delivery is electronic. After payment we email your license key and download links, and the license appears in your account. Installers are downloaded from our download page (hosted on GitHub Releases).
If you do not receive the email within an hour, check your spam folder, then your account page, then contact support@veer.example.
5. License grant
The Software is licensed, not sold. When you pay for a license, we grant you a non-exclusive, perpetual, worldwide license to install and use the Software covered by that license, subject to these terms.
- You may use the Software for personal and commercial work, including paid productions.
- A license belongs to one user (a person, or one seat in a company).
- You may activate the Software on the number of devices stated for your license (for example 2). You can free a device yourself in your account, within a fair-use limit on how often devices can be removed.
- You may not resell, rent, lend, share or transfer a license. [OWNER TO CONFIRM: whether license transfers are allowed on request, and for what fee.]
6. What you may not do
- Copy or distribute the Software or your license key, except for your own backups.
- Remove, bypass or tamper with the activation or licensing system.
- Reverse engineer, decompile or disassemble the Software, except to the extent the law of your country allows this despite this restriction.
- Use the Software or our services in a way that breaks the law or harms our systems.
7. Activation, heartbeat and offline use
The Software must be activated online once per device. Activation creates a one-way device identifier (a hash); it does not include your files or audio.
While the Software runs it checks in with our license server from time to time (a "heartbeat") to keep the activation valid. If you are offline, the Software keeps working for a grace period. [OWNER TO CONFIRM: length of the offline grace period.] After that it asks to go online once to continue.
Details of what is sent are in the Privacy Policy.
8. Free trials
Each product can be tried once per account, fully functional, for 14 days. A trial license stops working when it ends. Creating extra accounts to get more trials is not allowed.
Trials are provided as they are, free of charge, and are meant to help you decide before you buy.
9. Updates
Updates within the same major version (for example 1.0 to 1.9) are free for license holders. A new major version may be offered as a paid upgrade. [OWNER TO CONFIRM: free-update policy and upgrade pricing.]
We support the systems listed on the product page at the time of purchase (currently Windows 10 or later, 64-bit, and macOS 12 or later; VST3, AU and CLAP). We cannot promise compatibility with future operating systems or hosts, but we aim to keep the Software working.
10. Your audio
Audio you create with the Software is yours. We claim no rights in your recordings, renders or productions, and you do not need to credit us. Factory presets and demo content may be used in your productions but may not be redistributed as presets or sample packs.
11. Right of withdrawal (EU and UK consumers)
If you are a consumer in the EU or UK, you normally have 14 days to withdraw from an online purchase. For digital content supplied immediately, this right ends once delivery begins, but only if you expressly asked for immediate delivery and acknowledged that you lose the right of withdrawal. At checkout we ask for this consent before payment.
Our voluntary Refund Policy still applies on top of this. It allows refunds within 14 days in the cases it describes, for example when a license has never been activated.
12. Warranty
We want the Software to work well and we fix reported problems where we reasonably can. Apart from that, and to the extent the law allows, the Software is provided "as is" without further warranties, including fitness for a particular purpose. Consumers keep any statutory rights that cannot be excluded, including rights regarding faulty digital content.
13. Limitation of liability
To the extent the law allows, our total liability for any claim relating to a license is limited to the amount you paid for that license, and we are not liable for indirect or consequential loss, such as lost profits, lost data or lost sessions. Keep backups of your projects.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law.
14. Termination
Your license ends automatically if you materially break these terms. If an order is refunded, or the payment is reversed through a chargeback or dispute, the licenses from that order are revoked and stop activating.
You can stop using the Software at any time. Sections on liability, restrictions and governing law continue after termination.
15. Governing law and disputes
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have jurisdiction. [OWNER TO CONFIRM: governing law, forum, and whether the DIFC courts or arbitration are preferred.]
If you are a consumer, you also keep the protection of the mandatory laws of your country of residence, and you may bring a claim there. Before going to court, please contact us; most problems are solved quickly.
16. Changes and contact
We may update these terms. The version in force when you buy applies to that purchase; we will tell you by email about material changes that affect existing licenses.
